1. Service Description

1.1 What Quartrly Does

Quartrly is an AI-powered platform that transforms quarterly earnings conference call transcripts of Indian companies into interactive insight dashboards. Our Service allows users to:

• View AI-generated insights from earnings call transcripts
• Save and organise insights on personal boards
• Add notes and tags to insights
• Create and manage company watchlists
• Access curated Pitches (single-company summaries) and Quarterly Trends (cross-company thematic analysis)
• Export insights for personal research

1.2 AI-Generated Content Disclaimer

All insights, dashboards, Pitches, and Quarterly Trends displayed on Quartrly are generated by artificial intelligence. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or omissions. You acknowledge and agree that:

• AI-generated insights are derived from publicly available earnings call transcripts
• The AI may misinterpret, oversimplify, or incorrectly summarise information
• You should independently verify all information before making any decisions
• Quartrly does not guarantee the accuracy, completeness, or timeliness of AI-generated content

1.3 Not Investment Advice

IMPORTANT: Quartrly is NOT a SEBI-registered investment advisor, research analyst, or portfolio manager. The content provided on Quartrly does not constitute investment advice, financial advice, trading advice, or any other form of professional advice.

• All content is for informational and educational purposes only

1.4 Regulatory Clarification

Quartrly does not produce or publish "research reports" within the meaning of the SEBI (Research Analyst) Regulations, 2014.

The platform automatically summarises and organises publicly available earnings call transcripts using artificial intelligence systems. This includes Quarterly Trends, which identify recurring themes (such as margin expansion, capacity addition, or export growth) mentioned across multiple companies' earnings calls. These thematic groupings are automated analyses of publicly available management commentary using natural language processing — they are not investment screens, stock recommendations, sector calls, or research analysis.

The Service is intended solely to provide informational tools that assist users in reviewing publicly available corporate communications.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

2.2 Geographic Availability

Quartrly is primarily designed for users in India and focuses on companies listed on Indian stock exchanges (NSE/BSE). While the Service may be accessible from other countries, we make no representations that the Service is appropriate or available for use in other locations.

2.3 Account Requirements

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Not share your account with others or allow others to access your account
• Notify us immediately of any unauthorised access to your account

3. User Accounts and Responsibilities

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@quartrly.in if you suspect any unauthorised use of your account.

3.2 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorised purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorised access to any part of the Service or its systems
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use automated scripts, bots, or scrapers to access the Service without our express permission
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express permission
• Use the Service to distribute spam, malware, or other harmful content
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or harvest any personal information from other users
• Circumvent or attempt to circumvent any access restrictions or usage limits

3.3 User Content

You retain ownership of any notes, tags, and annotations you create on the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, and display your User Content solely for the purpose of providing the Service to you.

4. Subscription Tiers and Billing

4.1 Subscription Plans

We offer the following subscription tiers:

4.2 Payment Processing

All payments are processed through Razorpay, our third-party payment processor. By subscribing to a paid plan, you agree to Razorpay's terms of service and privacy policy. We accept major credit cards, debit cards, UPI, and net banking.

4.3 Billing Cycle

• Monthly Subscriptions: Billed on the same date each month starting from your subscription date
• Annual Subscriptions: Billed once per year on the anniversary of your subscription date
• Your subscription will automatically renew unless cancelled before the renewal date

4.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect existing subscriptions until the next renewal period. We will provide at least 30 days' notice of any price increases.

4.5 Taxes

All prices are exclusive of applicable taxes. You are responsible for paying all applicable taxes, including GST, based on your billing address.

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your subscription may be suspended or downgraded to the free tier. You remain responsible for any unpaid amounts.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@quartrly.in. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• Your account will be downgraded to the free Investor tier

5.2 Refund Policy

Please refer to our separate Refund Policy for detailed information on refunds. In summary:

• Monthly subscriptions: No refunds for the current billing period
• Annual subscriptions: Pro-rata refunds may be available for unused months
• Refund requests must be submitted within 7 days of the billing date

6. Intellectual Property

6.1 Quartrly's Intellectual Property

The Service, including its design, features, AI algorithms, branding, logos, and all AI-generated content (insights, dashboards, Pitches, Quarterly Trends), is owned by Ampo One Global Pvt. Ltd. and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or AI-generated content without our express written permission, except for personal, non-commercial use in your investment research.

6.2 Transcript Sources

The earnings call transcripts we analyse are publicly available documents. We do not claim ownership of the underlying transcript content. Quartrly's value lies in the AI analysis and presentation of this public information.

6.3 Licence to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial investment research purposes.

6.4 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose without compensation or attribution.

7. Disclaimers

7.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

7.2 No Guarantee of Availability

We do not guarantee that the Service will be available at all times or without interruption. We may suspend or discontinue the Service or any features at any time without prior notice.

7.3 AI Limitations

We do not warrant that AI-generated content will be accurate, complete, reliable, current, or error-free. The AI may make mistakes in interpreting transcripts, calculating metrics, or summarising information. You use AI-generated content at your own risk.

7.4 Third-Party Content

We are not responsible for the accuracy of underlying earnings call transcripts or any third-party content accessed through the Service.

7.5 Market Data Disclaimer

Financial figures, metrics, growth rates, and other numerical data displayed on the Service may be derived from third-party sources or automatically calculated by artificial intelligence systems.

Such data may be estimated, incomplete, delayed, or inaccurate. Ampo One Global Pvt. Ltd. does not guarantee the accuracy, completeness, or timeliness of any financial or market data displayed on the platform.

8. Limitation of Liability

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AMPO ONE GLOBAL PVT. LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or business
• Loss of data or goodwill
• Investment losses or trading losses
• Service interruption
• Computer damage or system failure

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ₹5,000, WHICHEVER IS GREATER.

8.3 Investment Decisions

YOU ACKNOWLEDGE THAT ANY INVESTMENT DECISIONS YOU MAKE ARE ENTIRELY YOUR OWN RESPONSIBILITY. WE SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM YOUR USE OF INFORMATION PROVIDED ON THE SERVICE.

8.4 Force Majeure

Ampo One Global Pvt. Ltd. shall not be liable for any delay or failure to perform obligations under these Terms where such delay or failure results from events beyond reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, government actions, failure of third-party infrastructure providers, or other force majeure events.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ampo One Global Pvt. Ltd. and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your investment decisions based on information from the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time by deleting your account through the settings page or by contacting support@quartrly.in.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe that you have violated these Terms.

10.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• Your account data may be deleted after a reasonable period
• Any provisions of these Terms that by their nature should survive termination shall survive (including intellectual property, disclaimers, limitation of liability, and indemnification)

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India, for resolution of any disputes arising out of or relating to these Terms or the Service.

11.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@quartrly.in and attempt to resolve the dispute informally for at least 30 days.

11.4 Arbitration

If informal resolution fails, any dispute arising out of or in connection with these Terms shall be finally settled by arbitration administered by a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Ampo One Global Pvt. Ltd. regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
